Are you running a custom ROM?
If not, are you ever planning to run a custom ROM that isn't based on 4.4 Kitkat?
If the answer to both of those is "no," then go ahead and update. The update troubles just come when dealing with custom ROMing.

I have root my I9205 after I bought it three months ago. (I just root it nothing more)
Now I want to upgrade the stock rom (coz there are some minor problems)
Will I be able to upgrade the Stock ROM (OTA) after unrooting my I9205??
Anything else I need to consider??

AFAIK OTA after rooting is not possible. Phone has to be 'virgin' stock to have possibility to upgrade by OTA.
Just flash the latest stock Rom, this will update and unroot all in one go.

I have a att HTC one that I rooted and installed stock 4.3 GE ROM version Jwr66v.h1 an over the air updated this to jwr66y.h1 no problem. Now I got an ota update notification to 4.4 but it fails to update. With twrp it fails. Then I installed stock recovery and still fails, I get android guy with red exclamation mark. Any way to update this thing to 4.4?????

Well I get that, the question is since it was possible to flash a GE ROM with s-on for 4.3 why not 4.4. Mainly because I and a few others out there can not seem to get s-off.

No one knows why 4.4 GPE won't work on s-on phones. If you want stock android, then I suggest flashing an aosp rom.

Currently on Jelly Beans 7 with MDK and using TWRP recovery on my Verizon S4. I've been using this for so long without much desire to update..
Starting to get the urge to update again.
What am I missing staying on mdk 4.2.2?
And if I do decide to upgrade, is TWRP still the recovery of choice?
What's my upgrade path from here? Flash back to stock mdk and take OTA, or move directly to a rooted 4.3 ROM?

I agree. I wouldn't take the OTA. There are 4.3 and 4.4 based ROMs that you can flash. Once you upgrade, you'll be stuck on whatever build Samsung issues (right now, that's 4.3).

You should just flash a 4.3 ROM. Search the android development thread. There's no need to loose your unlocked bootloader.

Just flash a 4.3 ROM like Hyperdrive RLS13... You will be very happy.

MDK doesn't have an unlocked bootloader... They just have an exploit that allows a workaround.
I agree with everyone above. Don't take the OTA. Since you have MDK you also have a custom recovery and can flash many ROMs. There are many flavors on 4.3 and 4.4 available currently. Read about them, the available features, and such. Then decide what you want.

We know the bootloader isn't actually unlicked on mdk.... I think that's just lamans terms so people know what they have lol. Seriously no offense to the op at all.... Its just amazing how some people are running custom recoveries and ROMs on MDK s4's and then think of taking ota's

Just in case OP is confused I want to clarify that MDK is the bootloader. You want to preserve that because it allows the installation of custom recoveries. This is separate from the baseband which may also be labeled MDK. You can always update your Radio baseband without losing root, however you would not want to do this with an OTA. You would want to download this from xda as a flashable zip.

I "successfully" installed the new OTA update, but all it appears to have done was disable root without actually updating. It's still 4.3.
Since it was "successful," going to the software update does nothing; it tells me I have the latest software.
Any direct download?

You are both so right my dear friends. Verizon released an oddly-timed 4.3 bug fix. It was not supposed to be a 4.4.2 update after all.
