Flash clockworkmod recovery using ROM manager and install Franco's .35 kernel. Then use an app like setcpu to overclock.

please give the link where i can find Franco's .35 kernel & is this kernel stable for our phone? i mean does this have any bugs?

No, the kernel is stable if you don't overclock your phone too much. I would suggest taking the overclock to 768 and if you get kernel panics, lower your overclock.

Yes, if the new kernel is compatible with the rom you are using.
For example - there are devs who made kernels for Stock and CM roms.
If you are using stock rom with custom kernel you can fastboot another kernel for stock rom from another developer.
You should have a look at this thread, i think. http://forum.xda-developers.com/showthread.php?t=2100529
